Terms of Use

Last updated: October 10, 2026
Effective date: October 10, 2026

1. About These Terms

These Terms of Use (“Terms”) govern access to and use of Affiliate House (Staging), including its website, applications, dashboards, tools, features, and related services (collectively, the “Platform”).

Affiliate House is operated by GAEA Botanicals Cosmetics and Skin Care Products Trading OPC (“Company,” “we,” “us,” or “our”), a company organized under the laws of the Republic of the Philippines. The Company’s verified registered address and contact details will be published on the Platform.

By registering for an account, accessing the Platform, creating or joining a campaign, or otherwise using the Platform, you agree to these Terms and the applicable policies and agreements referenced herein. If you do not agree, you must not use the Platform.

If you use the Platform on behalf of a business or other entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the entity, as applicable.

2. Definitions

  • Affiliate House / Platform: The online service operated by the Company that facilitates connections and collaboration workflows between brands and creators.
  • Brand: A business, merchant, advertiser, agency, or other party that creates, funds, or manages a campaign.
  • Creator: An individual or entity participating in campaigns, including affiliates, influencers, user-generated-content creators (UGC creators), and key opinion leaders (KOLs).
  • Campaign: A brand-created collaboration with specified eligibility, products, compensation, deliverables, dates, and other requirements.
  • X-Deal: A product-exchange or product-for-content arrangement, as defined by the campaign terms.
  • Paid Collaboration: A campaign involving agreed monetary compensation for creator deliverables.
  • Hybrid Creator: A creator whose selected earning setup makes them eligible for both X-Deal and Paid Collaboration campaigns, subject to campaign requirements.
  • Campaign Terms: The brief, deliverables, compensation, product arrangements, schedule, revision limits, usage rights, cancellation rules, and other terms shown or accepted for a particular campaign.
  • User Content: Content, data, materials, profiles, drafts, images, videos, links, reviews, campaign briefs, and other information submitted or uploaded by users.

3. Eligibility and Accounts

You must provide accurate, current, and complete registration information and promptly update it when it changes.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities conducted through your account, except to the extent caused by the Company’s own breach of applicable law or obligations.
  • Ensuring that persons accessing a business account are authorized to act for that business.
  • Using contact information you control and monitoring important Platform communications.
  • Notifying us promptly of suspected unauthorized access, account compromise, or misuse.

We may request information reasonably necessary to verify identity, business authority, social accounts, campaign eligibility, payment records, or compliance. Verification does not constitute a guarantee of a user’s identity, conduct, performance, creditworthiness, or reliability.

We may restrict account features while information is being verified or where reasonably necessary to protect users, the Platform, or legal compliance.

4. Platform Services and Role

Affiliate House provides technology and workflow tools that may include:

  • Brand and creator profiles.
  • Campaign creation, discovery, applications, matching, and invitations.
  • Product shipment and delivery-status coordination.
  • Briefs, deliverables, draft submissions, approvals, revision tracking, and published-content links.
  • Affiliate tracking or other campaign reporting where available.
  • Compensation records, payment-proof submission, service-fee invoicing, and verification workflows where available.
  • Notifications, administrative review, and dispute escalation.

Features may vary by account type, subscription, campaign type, release, or availability.

Unless expressly stated in a separate written agreement, the Company acts as a technology platform and facilitator. It is not the manufacturer, seller, distributor, advertiser, agent, employer, partner, or legal representative of any user merely because that user uses the Platform. The Company does not automatically become a party to agreements between brands and creators.

The Company does not guarantee that a campaign will attract applicants, that a particular creator will accept an invitation, that a product will be delivered successfully, that content will generate sales or engagement, or that a user will achieve any commercial result.

5. User Roles and Responsibilities

5.1 Brands

Brands are responsible for:

  • The accuracy and completeness of their business profile, campaign brief, product information, claims, and instructions.
  • Having the legal right to offer, distribute, and advertise the products or services involved.
  • Setting clear deliverables, posting dates, compensation, commission terms, usage rights, revision limits, and other campaign conditions.
  • Providing products, shipping information, and materials as promised.
  • Paying creators and the Company according to the applicable campaign terms and agreements.
  • Ensuring that advertisements, promotions, products, claims, and campaign materials comply with applicable law and platform policies.
  • Obtaining necessary permissions, licenses, and approvals for trademarks, music, images, claims, and other materials supplied to creators.
  • Reviewing drafts and responding to submissions within the applicable review period.
  • Maintaining records of creator payments, approvals, and campaign-related communications.

5.2 Creators

Creators are responsible for:

  • Maintaining accurate profile information and representing their qualifications and social accounts honestly.
  • Reviewing the full campaign brief before applying or accepting.
  • Completing accepted deliverables by the agreed deadlines and in accordance with the approved brief.
  • Disclosing paid relationships, gifted products, affiliate relationships, and other material connections when required by applicable law or advertising rules.
  • Making only truthful statements based on their actual experience and not making unsupported claims.
  • Obtaining rights to any materials they add to their content.
  • Submitting authentic draft links, published-content links, and other requested evidence.
  • Following the applicable payment, draft-approval, publication, product-return, and usage terms.
  • Not engaging in fake engagement, fraudulent traffic, undisclosed manipulation, or other deceptive practices.

Creators are not employees of the Company solely because they participate in a campaign. Employment, agency, tax, and other legal relationships are determined by the actual circumstances and applicable law.

6. Campaign Types and Campaign Terms

The Platform may support X-Deal, Paid Collaboration, and other campaign formats introduced by the Company.

The campaign’s own terms govern its particular deliverables, product arrangements, compensation, posting dates, revisions, content usage, and cancellation or replacement process. Users must review and accept the applicable campaign terms before committing.

For Paid Collaboration campaigns, compensation and service-fee obligations must be displayed or otherwise communicated through the applicable campaign terms or commercial agreement. Unless the Platform expressly states otherwise in a separate written agreement, brands pay creators directly using an agreed external payment method. The Company does not hold, transfer, or distribute creator compensation under the standard Paid Collaboration workflow.

For X-Deal campaigns, the product, content, commission, attribution, return, and other arrangements are governed by the accepted campaign terms. Users must not assume that an X-Deal includes monetary compensation unless expressly agreed.

Campaign-specific acknowledgements are additional to these Terms and any applicable Merchant Agreement. If terms conflict, the following order applies to the extent legally permissible: (1) a signed written agreement expressly overriding the relevant provision; (2) the applicable campaign-specific terms for that campaign; (3) the Merchant Agreement for commercial matters; and (4) these Terms. The Privacy Policy governs personal-data processing.

7. Compensation, Fees, and Payments

Users must honor the compensation, commission, product, service-fee, and payment obligations they accept.

The Platform may display agreed compensation, payment details, payment proof, verification status, invoices, or related records. A status or record is not necessarily proof that funds have cleared unless the Platform expressly identifies it as verified under the applicable workflow.

Where creators are paid directly by brands:

  • The brand is responsible for paying the creator the agreed amount on time.
  • The creator is responsible for providing accurate payment details and reviewing the amount received.
  • Users must provide genuine payment evidence when requested.
  • Discrepancies must be reported and addressed promptly.
  • The Company’s service fee, where applicable, is a separate obligation from the creator’s compensation.

The Company does not guarantee a user's solvency, the authenticity of every payment screenshot, or the successful completion of a transfer conducted through a third-party payment provider.

Subscription fees, campaign fees, service fees, taxes, invoice timing, and other charges will be described in the applicable pricing page, checkout, Merchant Agreement, or campaign terms before they apply. Users remain responsible for taxes and statutory obligations allocated to them by law.

8. Drafts, Revisions, Publication, and Verification

Campaigns may require draft submission, brand approval, revisions, publication, and submission of a live-content link.

The accepted campaign terms determine the deliverables and revision limits. Where the Paid Collaboration workflow specifies a maximum of two revision rounds per creator per campaign and a maximum of three videos per creator, those limits apply unless a different arrangement is expressly agreed and recorded.

Creators must not publish Paid Collaboration content before satisfying the applicable payment and publication gate shown by the Platform, including any requirement that the assignment be marked “Paid” after payment verification.

A submitted link is not automatically verified. Affiliate House may review whether a link corresponds to the assigned creator, approved draft, and agreed deliverables. The Company may request further evidence, reject an invalid link, or mark it for review.

Unless the campaign terms expressly provide otherwise, views, engagement, conversions, and sales are not guaranteed and are not completion requirements merely because a campaign requires publication. Users must not represent that Affiliate House guarantees particular performance outcomes.

9. Products, Shipping, and Returns

The brand is responsible for product accuracy, safety, legality, packaging, shipment, tracking information, and any product-related representations it makes.

The campaign terms must specify whether a product is gifted, provided for content creation, returnable, or subject to other conditions. A creator must not assume that a product may be kept if the accepted campaign terms clearly require its return.

Affiliate House may provide product-sent confirmations or delivery-status tools. Such tools do not make the Company the carrier, seller, or guarantor of product delivery or condition. Affiliate House is not responsible for any delay, issue, or unsuccessful delivery.

10. Content Ownership and Licenses

Except as otherwise agreed in writing, each user retains ownership of the content and materials that the user owns or creates.

By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and use that content as reasonably necessary to operate, secure, administer, troubleshoot, and improve the Platform; facilitate the relevant campaign; provide support; and enforce the applicable agreements. This license continues only for as long as reasonably necessary for those purposes, subject to legal retention requirements and legitimate recordkeeping.

This license does not by itself grant a brand unlimited commercial rights to a creator’s content. Brands and creators must separately agree on any rights to repost, edit, advertise with, license, boost, whitelist, sublicense, or otherwise commercially exploit creator content.

Users must have the rights and permissions necessary to upload and authorize the uses of their materials. Users must not submit content that infringes another person’s rights or violates applicable law.

11. Prohibited Conduct

You must not:

  • Use the Platform for fraud, scams, deceptive marketing, illegal products, or unlawful activity.
  • Misrepresent your identity, audience, business, products, results, credentials, or payment status.
  • Submit fake profiles, fake engagement, fabricated payment proof, misleading links, or manipulated campaign evidence.
  • Circumvent Platform fees or controls where doing so breaches an accepted agreement.
  • Scrape, reverse engineer, probe, disrupt, or gain unauthorized access to the Platform or another account, except where applicable law expressly permits the conduct.
  • Upload malware, spam, unlawful content, or material that compromises Platform security.
  • Harass, threaten, discriminate against, or unlawfully exploit another user.
  • Use another user's personal data or confidential campaign information for an unauthorized purpose.
  • Infringe intellectual property, privacy, publicity, or other rights.
  • Make unsupported medical, health, financial, or other regulated claims in campaign content.
  • Manipulate the campaign, payment, review, or verification process.

12. Intellectual Property and Platform Rights

The Platform’s software, branding, design, interfaces, databases, and other Company-owned materials are owned by or licensed to the Company and are protected by applicable intellectual-property laws.

Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. No other rights are granted by implication.

You must not copy, resell, distribute, modify, or create derivative works from Company-owned Platform materials except as authorized by the Company or permitted by law.

13. Third-Party Services and External Platforms

The Platform may rely on or link to third-party services, including social networks, payment services, analytics providers, cloud storage, and communication tools.

Third-party services operate under their own terms and policies. The Company does not control their availability, decisions, algorithms, policies, fees, security, or actions. Social platforms may remove content, change access, restrict accounts, or alter analytics independently of Affiliate House.

Users are responsible for complying with the terms of any third-party service they use.

14. Confidentiality and Personal Data

Users must protect non-public campaign briefs, pricing, business information, draft content, creator information, payment records, and other information identified as confidential or reasonably understood to be confidential.

Users may use such information only for the relevant campaign or other authorized purpose and must not disclose it without permission unless required by law.

Personal data is handled under the Affiliate House Privacy Policy and applicable data-protection law. Users must not download, copy, retain, or use personal data obtained through the Platform beyond what is necessary and lawful for the relevant purpose.

15. Disputes Between Users

Users are responsible for resolving their own commercial arrangements and disagreements, subject to applicable law and the Company’s published procedures.

Affiliate House may, but is not obligated to, review campaign records, request evidence, facilitate communications, verify submitted content links, flag discrepancies, or take administrative action under its policies.

The Company is not required to adjudicate every dispute and does not guarantee a particular outcome. A Platform status or administrative decision is not a substitute for a court, regulator, or other legally competent authority.

Users must not misrepresent the outcome of a dispute or retaliate against another user for raising a good-faith concern.

16. Suspension, Restriction, and Termination

The Company may warn, restrict, suspend, or terminate an account or campaign where reasonably necessary because of suspected fraud, safety or security risks, non-payment, breach of these Terms, unlawful activity, repeated abuse, misleading information, legal obligations, or protection of users and the Platform.

Where reasonably practicable, the Company may provide notice and an opportunity to address the issue. Notice may be delayed or omitted where immediate action is reasonably necessary to protect users, evidence, the Platform, or legal compliance.

Termination does not automatically cancel accrued payment obligations, completed work, accepted campaign commitments, confidentiality obligations, or rights and liabilities that by their nature survive termination.

17. Disclaimers

To the maximum extent permitted by law, the Platform is provided on an “as available” and “as is” basis. The Company does not warrant uninterrupted access, error-free operation, universal compatibility, or that every user or item of information is genuine, accurate, lawful, or reliable.

The Company does not guarantee creator availability, campaign success, sales, reach, engagement, product delivery, payment by another user, or the continued availability of third-party services.

Nothing in these Terms excludes a consumer or other right that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from use of the Platform, third-party services, or a user's dealings with another user.

To the maximum extent permitted by law, the Company's aggregate liability arising out of or relating to the Platform will be limited to the total Platform fees actually paid by the affected user to the Company during the three (3) months immediately preceding the event giving rise to the claim, or PHP 5,000, whichever is greater. This cap does not apply where prohibited by law or to liability that cannot lawfully be limited.

The Company is not responsible for a user's independent acts, omissions, products, claims, content, failure to pay, breach of a campaign, or violation of law, except to the extent liability is imposed on the Company by applicable law.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and authorized representatives from third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising from or related to:

  • Your breach of these Terms or an accepted campaign agreement.
  • Your products, services, advertising claims, content, or materials.
  • Your infringement or alleged infringement of third-party rights.
  • Your unlawful conduct, fraud, or grossly misleading representations.
  • Your failure to meet payment, product, disclosure, tax, or other obligations.

This provision does not require indemnification for losses caused by the Company’s own conduct to the extent such indemnification is prohibited by law. The Company may control the defense of a claim where appropriate, and you must reasonably cooperate.

20. Changes and Platform Availability

The Company may modify, suspend, discontinue, or update Platform features and these Terms, subject to applicable law. Material changes will be communicated through the Platform, email, or another reasonable method where required.

Changes will take effect on the stated effective date. Where the law requires affirmative consent, the Company will seek it. Continued use after a valid effective date may constitute acceptance only to the extent permitted by law.

21. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without depriving users of mandatory rights that cannot lawfully be waived.

The parties will attempt in good faith to resolve disputes through written notice and reasonable discussion. Subject to applicable law and any mandatory dispute-resolution process, disputes may be brought before the competent courts of the Philippines, with venue in the proper courts of San Juan City, Metro Manila.

22. General Provisions

If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of future enforcement.

You may not transfer your rights or obligations under these Terms without the Company's consent, except where applicable law permits otherwise. The Company may transfer its rights and obligations as part of a lawful corporate reorganization, merger, or transfer of the relevant business, subject to applicable law.

These Terms, together with applicable campaign terms, the Privacy Policy, the Merchant Agreement, and other expressly incorporated policies, govern your use of the Platform. They do not override a separate signed agreement that expressly states it takes precedence.
